About the Author

Highly respected author, award-winning teacher, and popular professional presenter, Constance E. Bagley is Professor in the Practice of Law and Management at Yale University and a Senior Research Fellow at Yale Law School. Before joining the Yale faculty, she was an Associate Professor at Harvard Business School, a Senior Lecturer in Law and Management at the Stanford University Graduate School of Business, and a corporate securities partner at Bingham McCutchen LLP. Professor Bagley received Yale's Excellence in Teaching Awards in 2009 and 2013. A past president of the Academy of Legal Studies in Business, she is a recipient of its Senior Faculty Award of Excellence. In addition to multiple published articles, Professor Bagley also authored WINNING LEGALLY: HOW MANAGERS CAN USE THE LAW TO CREATE VALUE, MARSHAL RESOURCES, AND MANAGE RISK (Harvard Business School Press, 2005), coauthored (with Craig E. Dauchy) THE ENTREPRENEUR'S GUIDE TO BUSINESS LAW, 4E (Cengage, 2012), and contributed to numerous other books. She received her JD (magna cum laude) from Harvard Law School and her AB (Honors and Distinction) from Stanford University. She received an honorary doctorate in economics from Lund University in Sweden.

Cooley Godward Kronish is one of the nation's leading law firms providing counsel to entrepreneurs and venture capitalists. The firm has represented both issuers and underwriters in nearly 400 public offerings in recent years and consistently ranks among the Top 10 law firms handling venturebacked initial public offerings for companies in the United States. In recent years, the firm has represented companies or underwriters in more than 200 public offerings, including more than 100 IPOs. Mr. Dauchy has represented entrepreneurs, emerging companies, and venture capitalists in diverse industries, including medical devices, software, health care, electronics, and consumer products, for more than 30 years. He is a frequent lecturer on matters relating to securities law and public offerings, mergers and acquisitions, and venture capital. He also serves on a number of advisory boards and boards of directors. Mr. Dauchy has a J.D. and an M.B.A. from Stanford University and graduated magna cum laude with a B.A. in history from Yale University. He is a member of the State Bar of California.

Whether your are an entrepreneur, VC or lawyer, THIS is the book that you must read. It's really everything that you need to navigate the entire startup ecosystem. I've been in the industry for over a decade and I still use it as a reference and encourage both entrepreneurs and lawyers to read alike. I also think it's a great resource for VCs sitting on boards to make sure they are complying with all the latest and greatest regulations.

Includes all important areas of law for the entrepreneur. Was most helpful for our incorporation. Good, short, to-the-point, comparisons of S-corp, C-corp, LLC, partnership, and sole proprietorship. Still covered all issues and is updated to late 2007. This is important because the tax-code changes frequently (last major update was in 2003), and small changes to corporate structure and court pratices happen every year. Better than "Structuring Venture Capital, Private Equity, and Entrepreneurial Transactions." Better than "Starting Your Own Business" by Stephen C. Harper. Better than searching for piecemeal information on websites like news.YCombinator.

Other important areas covered are Contracts & Lease, Operational Liability, and Intellectual Property. I will be using this book heavily for those areas as well.

Found this book to be very interesting and an easy read. I feel it's a must read for any serious entrepreneur. The books includes detailed information on all the important areas of law; including examples on applications of information covered in each chapter. Very concise and informative. I didn't feel like any of the material covered was a waste of time.

It doesn't replace the need for qualified legal help, but it will give you a strong foundation so you know what you're getting into.
